Welcome to GPharms (“GPharms,” “we,” “our,” or “us”). These Terms and Conditions govern your access to and use of the GPharms website, applications, and services.
By accessing or using GPharms, you agree to be bound by these Terms and Conditions. If you do not agree with these terms, please do not use our services.
1. Definitions
- “Platform” refers to the GPharms software, website, applications, and services.
- “Customer,” “You,” or “User” refers to any pharmacy, clinic, organization, or individual using GPharms.
- “Account” means your registered GPharms subscription.
- “Subscription” means the paid plan or free trial provided by GPharms.
2. Eligibility
To use GPharms, you must:
- Be at least 18 years old.
- Have the legal authority to enter into these Terms.
- Provide accurate and complete registration information.
3. Account Registration
To use GPharms, you may be required to create an account and provide:
- Pharmacy Name
- Email Address
- Phone Number
- Business Address
You are responsible for maintaining the confidentiality of your login credentials and for all activities occurring under your account.
4. Free Trial
Every new account registered on GPharms is entitled to a thirty (30) day free trial period.
During the free trial period:
- You will have access to the features included in your selected plan.
- No payment is required during the trial period unless otherwise stated.
At the end of the thirty (30) day free trial period, you must subscribe to a paid plan to continue using the platform.
5. Subscription and Renewal
Continued access to GPharms requires an active subscription.
Subscriptions may be:
- Monthly
- Quarterly
- Annually
- Or as otherwise determined by GPharms.
Failure to renew your subscription before the expiration date may result in service interruption.
6. Account Suspension
GPharms reserves the right to suspend your account if:
- Your subscription expires and is not renewed.
- You violate these Terms and Conditions.
- You engage in fraudulent or illegal activities.
- Your use of the platform poses a security risk.
Upon suspension:
- Access to your account and data may be restricted.
- Data will remain stored for a limited period as described below.
7. Account Deletion for Non-Renewal
If your subscription is not renewed, GPharms reserves the right to:
- Suspend your account immediately after the expiration of your subscription or free trial period.
- Permanently delete your account and all associated data if your subscription remains inactive for sixty (60) consecutive days after suspension.
Once an account has been deleted:
- All data, records, reports, transactions, and uploaded documents may be permanently removed.
- GPharms shall not be liable for any loss of data resulting from such deletion.
Customers are encouraged to maintain regular backups of their information.
8. Acceptable Use
You agree not to:
- Use the platform for unlawful purposes.
- Attempt unauthorized access to the system.
- Interfere with the operation or security of the platform.
- Upload malicious software or harmful content.
- Use the platform in violation of applicable laws or regulations.
9. Data Ownership
You retain ownership of all data entered into GPharms.
GPharms does not claim ownership of:
- Pharmacy records
- Inventory data
- Customer records
- Sales records
- Financial information
- Uploaded documents
You are solely responsible for the accuracy and legality of the information you upload.
10. Intellectual Property
All rights, title, and interest in GPharms, including:
- Software
- Logos
- Designs
- Content
- Trademarks
- Source Code
remain the exclusive property of GPharms and its licensors.
No part of the platform may be copied, modified, distributed, or reproduced without written permission.
11. Service Availability
We strive to maintain uninterrupted service; however, GPharms does not guarantee that:
- The platform will be available at all times.
- The service will be error-free.
- The service will be free from interruptions or delays.
Scheduled maintenance and unforeseen circumstances may occasionally affect service availability.
12. Data Security
We implement reasonable security measures to protect your information.
However, no system can guarantee absolute security, and you acknowledge the inherent risks associated with using internet-based services.
13. Limitation of Liability
To the fullest extent permitted by law, GPharms shall not be liable for:
- Loss of profits
- Loss of revenue
- Loss of business opportunities
- Loss of data
- Indirect, incidental, or consequential damages arising from the use or inability to use the platform.
14. Indemnification
You agree to indemnify and hold harmless GPharms, its officers, employees, and affiliates from any claims, damages, losses, or liabilities arising from:
- Your use of the platform.
- Violation of these Terms.
- Violation of applicable laws or regulations.
15. Termination
GPharms reserves the right to suspend or terminate your account at any time if:
- You violate these Terms and Conditions.
- You engage in unlawful activities.
- You misuse the platform.
- Your subscription remains unpaid beyond the allowed grace period.
16. Changes to the Service
We reserve the right to:
- Modify features.
- Add or remove functionalities.
- Update pricing.
- Discontinue certain services.
Reasonable notice will be provided where necessary.
17. Changes to These Terms
GPharms may update these Terms and Conditions from time to time.
Updated versions will be posted on our website, and continued use of the platform constitutes acceptance of the revised Terms.
18. Governing Law
These Terms and Conditions shall be governed and interpreted in accordance with the laws of the Federal Republic of Nigeria.
Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Nigeria.
